Terms of Use

These Terms of Use ("Terms") govern your access to and use of the website fitstat.in and all related services, including your FitStat account, our fitness events and challenges, gym memberships sold on fitstat.in for listed gyms, and our online personal-training ("PT") marketplace, booking and subscription system (collectively, the "Platform"), operated by FitStat ("FitStat", "we", "us", "our"). By creating an account, registering for an event, buying a gym membership, browsing trainer profiles, or booking a session, you agree to be bound by these Terms and by our Privacy Policy, Cookie Policy, Refund & Cancellation Policy, and Grievance Redressal Policy, each of which is incorporated into these Terms by reference. If you do not agree, please do not use the Platform.

The Platform is operated by FitStat Co, a partnership firm registered in Karnataka, GSTIN 29AAKFF9529R1ZA, whose registered address is E 403, Renaissance Reserva, 54, MES Road, Ward 17, Gokula Extension, Muthyala Nagar, Jalahalli, Bengaluru, Karnataka - 560013. FitStat Co also runs its own gym, FitStat Nagasandra, and sells gym software to other gyms under separate Gym Software Terms.

1. Definitions

• "Trainer" means an individual who registers on the Platform to offer paid online personal-training sessions.
• "Customer" means an individual who registers on the Platform to book personal-training sessions or participate in FitStat events.
• "Session" means a scheduled online personal-training appointment booked through the Platform between a Trainer and a Customer.
• "Booking" means a Customer's paid reservation of a Session slot on a Trainer's published availability.
• "FitStat Account" means the account you sign in to with your mobile number and a one-time code, which can hold your online PT account and the gym memberships you choose to add to it.
• "Gym" means a gym or fitness centre listed on fitstat.in, including FitStat's own gym, and "Gym Membership" means a membership plan of a Gym bought through fitstat.in.
• "Event" means a FitStat fitness event, challenge or meetup, online or in person.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract under the Indian Contract Act, 1872 to register on the Platform, buy anything on it or accept these Terms. A person under 18 cannot do any of these, because a minor's agreement is not valid in law.

Online PT Sessions and Events are for adults only. You must be 18 or over to book or take part in a Session or an Event, and no one may book either for a person under 18. FitStat cannot yet check online that a parent or guardian is an adult, so this applies until FitStat adds such a check and updates these Terms.

Gym Memberships for a person under 18. A person under 18, from the minimum age the Gym sets, may use a Gym Membership, but only as a user: their parent or legal guardian buys it from the parent's or guardian's own account, pays for it, and accepts these Terms and the Gym's membership terms as the contracting party, for themselves and on the young person's behalf, and is responsible for the young person's participation. The parent or guardian ticks "under 18" at checkout and must show their own photo ID at the Gym's front desk before the first visit, so the Gym can confirm that consent came from an adult; the young person cannot check in until this is done.

The Platform is not for children under 13. We do not send offers or promotions to anyone under 18, and we do not track them or target advertising at them (Digital Personal Data Protection Act, 2023, section 9). Information provided during registration (name, email, phone, and for Trainers, KYC details) must be accurate, current, and complete.

3. Nature of the Platform

FitStat operates the Platform as an online intermediary within the meaning of Section 2(1)(w) of the Information Technology Act, 2000, connecting independent Trainers with Customers seeking online personal-training services. Trainers are independent contractors and are solely responsible for the fitness advice, coaching methodology, and conduct of each Session. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between FitStat and any Trainer or Customer. FitStat does not itself provide personal-training, medical, nutritional, or health advice.

For Gym Memberships, FitStat is a marketplace e-commerce entity under the Consumer Protection (E-Commerce) Rules, 2020: each Gym is the seller and FitStat runs the page on which you buy from it (see section 6). One of the Gyms listed, FitStat Nagasandra, is run by FitStat Co itself. It is listed on the same terms as every other Gym, and FitStat does not rank, price or present it more favourably because it is FitStat's own.

4. Account Registration & Security

• Trainers and Customers of the online PT marketplace sign in with their email address and a password. You sign in to your FitStat Account with your mobile number and a one-time code sent to it, with no password. A gym membership appears in your FitStat Account only after you confirm it is yours and agree to add it, and you can remove it at any time; the Gym then sees only that you have a FitStat Account, not your other memberships or your online PT activity.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must notify us immediately at hello@fitstat.in of any unauthorized use of your account.
• Repeated failed login attempts may result in a temporary account lock as a security measure.
• We may suspend or terminate accounts that provide false information or violate these Terms.

5. Trainer Obligations

• Trainers must provide accurate profile information, pricing, and weekly availability, and keep these updated.
• Trainer profiles are subject to admin review and approval before appearing publicly on the Platform, and FitStat may reject or later suspend a Trainer profile for incomplete, inaccurate, or unverifiable information, or for conduct inconsistent with these Terms.
• Trainers must upload genuine identity and certification documents (PAN, or a masked Aadhaar with the first eight digits hidden, and certifications; FitStat never insists on Aadhaar) for verification, as described in our Privacy Policy.
• Trainers must conduct Sessions professionally, honor confirmed Bookings, conduct each Session exclusively through the Platform's own in-platform video calling feature, and treat Customer health and personal information as confidential.
• Trainers must not solicit Customers to book or pay outside the Platform to avoid the platform commission, or share personal contact details with a Customer to arrange a Session outside the Platform's video calling feature; doing so is grounds for immediate suspension.
• Trainers are solely responsible for the accuracy of the fitness guidance they provide and must not diagnose medical conditions or represent themselves as licensed medical practitioners unless they are one.

6. Gym memberships bought on fitstat.in

• The Gym is the seller. When you buy a Gym Membership, your contract for the membership is with that Gym, not with FitStat (unless the Gym is FitStat Nagasandra, which FitStat Co runs). The Gym sets the plans and prices (including GST), receives your payment in its own Razorpay account, issues your receipt or GST invoice, provides the gym services, and decides cancellations and refunds under its own policy.
• Before you pay, the checkout page shows who you are buying from: the Gym's legal name, address, GSTIN (if it has one), its refund and cancellation policy, its complaints contact, and its privacy notice, which you must agree to. FitStat does not change a Gym's prices or terms on the page.
• Offers from the Gym are sent only if you tick the optional offers box, and never to anyone under 18.
• Your use of the Gym's premises is also subject to the Gym's own membership rules, which the Gym gives you at joining.
• You can raise a complaint about a Gym Membership with the Gym or with FitStat's Grievance Officer, who will take it up with the Gym (see section 21). FitStat is responsible for running the page and the payment flow correctly; the Gym is responsible for the membership and its services.

7. Customer Obligations

• Customers must provide accurate health-relevant information (e.g., body measurements, injuries, medical conditions) requested by a Trainer so Sessions can be conducted safely.
• Customers must attend confirmed Sessions on time and behave respectfully toward Trainers.
• Customers are responsible for having suitable space, equipment, and a stable internet connection to participate in an online Session.

8. Events & Challenges

• Event entry fees are shown on each Event's page in INR, inclusive of applicable taxes. They are non-refundable and non-transferable, unless FitStat cancels or reschedules the Event, in which case you get a full refund, or the choice of a transfer to the new date.
• Before you take part you confirm that you are fit to do so; you take part at your own risk and should stop if you feel unwell. Results and scores you submit must be genuine; FitStat may remove false entries from leaderboards.
• At in-person Events, FitStat takes photographs or video of you, or publishes your name on a leaderboard, only with your consent, which you may withdraw at any time.

9. Health & Safety Disclaimer

Personal-training Sessions and fitness content on the Platform are for general fitness and educational purposes and do not constitute medical advice, diagnosis, or treatment. You should consult a qualified physician before beginning any new exercise programme, particularly if you have a pre-existing medical condition, injury, or are pregnant. You participate in Sessions and events entirely at your own risk. FitStat is not liable for any injury, health complication, or loss arising from your participation in a Session or event, or from following any guidance provided by a Trainer, except where it is caused by FitStat's own negligence or by anything else for which the law does not allow liability to be excluded. For training at a Gym, the Gym's own membership terms apply.

10. Bookings, Pricing & Payments

• All prices are listed in Indian Rupees (INR) and are set by each Trainer, subject to applicable taxes.
• An online PT subscription runs for the period you pay for and is never billed automatically: it simply ends unless you renew it, and we email you a reminder beforehand. You may cancel it from your account.
• A Booking is confirmed only after successful payment through our payment partner, Razorpay. We do not store your card, UPI, or net-banking credentials.
• A Session is delivered via the Platform's own in-platform video calling feature — no third-party meeting link is used, and Trainers and Customers do not need to exchange personal contact details to conduct a Session. A "Join Session" option becomes available a short window before and after the scheduled Session time.
• Cancellations, rescheduling, and refunds are governed by our Refund & Cancellation Policy.

11. Trainer Commission & Payouts

FitStat charges Trainers a platform commission, expressed as a percentage of each Booking's value and communicated to the Trainer at the time of approval. Trainer payouts (Booking amount less commission) are processed on a weekly cycle for Sessions that are marked completed, approved by our admin team, and meet the applicable minimum Customer-rating threshold, and are transferred to the bank account details the Trainer has provided and had verified. FitStat may withhold a payout pending resolution of a dispute, chargeback, or suspected fraud relating to the underlying Booking.

12. Ratings & Feedback

After a Session, Customers and Trainers may each rate and leave feedback on the other. Ratings and feedback must be honest and must not be defamatory, harassing, or knowingly false. FitStat may use Customer ratings of a Trainer as one factor in payout eligibility and in decisions to review or suspend a Trainer's account. FitStat may also collect general feedback about the Platform to improve our services.

13. KYC & Document Handling

Identity and verification documents (including PAN, a masked Aadhaar if a Trainer chooses to give it instead of PAN, and certification uploads, and bank account details) collected from Trainers are used solely for verification, fraud prevention, payout processing, and legal/regulatory compliance, and are stored with field-level encryption as described in our Privacy Policy.

14. Intellectual Property

All content on the Platform — including the FitStat name and logo, text, graphics, and software — is owned by or licensed to FitStat and is protected under Indian copyright and trademark law. You may not copy, reproduce, or create derivative works from Platform content without our prior written consent. You retain ownership of content you upload (e.g., a Trainer's profile bio or certifications) but grant FitStat a limited licence to display it on the Platform for the purpose of operating the marketplace.

15. Prohibited Conduct

You must not: (a) impersonate any person or misrepresent your identity or credentials; (b) upload forged or fraudulent KYC documents; (c) harass, threaten, or discriminate against another user; (d) attempt to circumvent Platform payments, or conduct a Session outside the Platform's video calling feature by exchanging personal contact details for that purpose; (e) submit false challenge/event data; (f) probe, scan, or interfere with the security of the Platform; or (g) use the Platform for any unlawful purpose.

16. Third-Party Services

The Platform integrates third-party services, including Razorpay (payments, including each Gym's own Razorpay account), WhatsApp (customer support and messages), and the video and hosting providers named in our Privacy Policy. Your use of these services is also subject to their respective terms and privacy policies. FitStat is not responsible for the acts or omissions of these independent third parties.

17. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, FitStat disclaims all warranties, express or implied, regarding uninterrupted availability, accuracy of Trainer-provided information, or fitness for a particular purpose.

18. Limitation of Liability

To the maximum extent permitted by applicable law, FitStat's aggregate liability arising out of or relating to these Terms or your use of the Platform shall not exceed the amount you paid for the specific Booking, Event registration or purchase giving rise to the claim. FitStat shall not be liable for any indirect, incidental, or consequential loss, including loss arising from a Trainer's conduct or advice, which remains the Trainer's sole responsibility, or from a Gym's services, which remain the Gym's responsibility. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law, or takes away your rights as a consumer under the Consumer Protection Act, 2019.

19. Indemnification

If you are a Trainer, you agree to indemnify and hold FitStat harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, or the advice or conduct provided during a Session.

If you are a Customer or any other user, you agree to indemnify FitStat only for a claim, loss, or expense (including reasonable legal fees) caused by your deliberate misuse of the Platform, such as fraud, using someone else's account or payment details, or uploading unlawful content. Nothing in this section limits your rights as a consumer under the Consumer Protection Act, 2019.

20. Suspension & Termination

We may suspend, reject, or terminate any account — including a pending or already-approved Trainer profile — that violates these Terms, fails KYC verification, or receives a pattern of poor Customer ratings, with notice where reasonably practicable. You may close your account at any time by contacting us.

21. Grievance Redressal

If you have a complaint about a Booking, a Trainer, a Customer, a Gym Membership, an Event, a payment, or any other aspect of the Platform, contact our Grievance Officer, Kavya S, at hello@fitstat.in or +91 9606635003. We acknowledge a complaint within 24 hours and resolve it within 15 days of receipt; see our Grievance Redressal Policy for the full process.

22. Force Majeure

FitStat shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including internet or power outages, payment-gateway downtime, or governmental action.

23. Severability & Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force. These Terms, together with our Privacy Policy, Cookie Policy, Refund & Cancellation Policy, and Grievance Redressal Policy, constitute the entire agreement between you and FitStat regarding the Platform.

24. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above, and we tell registered users of a material change by email or when they next sign in, at least 7 days before it takes effect. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

25. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to the grievance redressal process above, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Platform. This does not affect your right as a consumer to approach a Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019.
